These Terms and Conditions (“Terms”) govern your access to and use of the HBX Group Self-Serve Advertising Portal (the “Portal”) and the advertising services available through it. By registering for, accessing, or using the Portal, you agree to be bound by these Terms. Hotelbeds Technology, S.L.U. (“HBX”), with registered office at [HBX REGISTERED ADDRESS], Palma de Mallorca, Spain, CIF [HBX TAX ID NUMBER], registered in the Commercial Registry of [REGISTRY DETAILS], contact email: [HBX SUPPORT EMAIL], telephone: [HBX PHONE NUMBER]. The Portal is a service offered by HBX Group (“HBX”, “we”, “us”). The technology powering the Portal is provided by Platform 195 Ltd (“Platform 195”) through its Uplift Hub platform. Your use of the Portal is also subject to the Platform 195 Technology Provider Terms of Use, which govern your interaction with the underlying technology platform. In the event of a conflict between these Terms and the Platform 195 Technology Provider Terms, these Terms shall prevail with respect to the advertising services. These Terms shall be subject, in all cases, to the Marketing Suite Programme Addendum (the “Addendum”) entered into between you and HBX. In the event of any conflict or inconsistency between these Terms and the Addendum, the Addendum shall prevail.2. Contract Formation and Process
The contracting process through the Portal follows these steps: (1) registration and creation of an account; (2) selection and configuration of the desired Package; (3) review of the order summary, including price and Package specifications; (4) acceptance of these Terms via the designated checkbox mechanism (“click-wrap”); and (5) confirmation of purchase by clicking the order button, which shall be clearly labelled with the words “Order with payment obligation” or equivalent unambiguous wording. Upon completion of an order, HBX will send an electronic acknowledgment of receipt to the email address associated with your account without undue delay, confirming the details of the purchased Package. This acknowledgment constitutes confirmation of the contract in accordance with Article 28 of LSSI. The contract is concluded at the moment the acknowledgment is made available to you. These Terms are available in English and may be stored and reproduced by you at any time. HBX will archive the electronic contract and make it accessible to you through your Portal account. You represent and warrant that you have full legal capacity and sufficient authority to bind the legal entity on whose behalf you act. Orders placed through your account will be deemed authorised by, and binding upon, that entity. You must provide the contracting entity’s full legal name, registered address, company registration number and VAT/tax ID. HBX may reject or suspend orders where these details are missing, inaccurate or cannot be verified.3. Definitions
- **“Portal” **means the HBX Group Self-Serve Advertising Portal, accessible at [URL].
- **“HBX” **means HBX Group and its operating brands, including Hotelbeds and Bedsonline.
- **“You” / “Advertiser” **means the hotel, property, or authorised representative accessing and using the Portal.
- **“Sponsored Listing” **means a promoted placement of your property within Hotelbeds and/or Bedsonline booking engine search results.
- **“Package” **means a pre-configured advertising product available for purchase through the Portal.
- **“Campaign” **means an active advertising deployment created from a purchased Package.
4. The Service
The Portal enables hotel partners to browse, select, purchase, and manage advertising Packages, comprised of sponsored listings and digital ad banners, across HBX’s Hotelbeds and Bedsonline platforms. HBX is your contractual counterparty. HBX is responsible for all commercial aspects of the service including advertising inventory, pricing, package design, campaign delivery, invoicing, and customer support. All purchases made through the Portal constitute an agreement between you and HBX. Platform 195 is the technology provider. Platform 195 develops and operates the Uplift Hub platform that powers the Portal. Platform 195 is not a party to the advertising agreement between you and HBX. Your use of the Portal’s technology is separately governed by the Platform 195 Technology Provider Terms of Use.5. Eligibility and Account Access
The Portal is available to hotel partners with a valid HBX hotel identification number. Access is granted via unique login codes distributed by HBX. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify HBX immediately of any unauthorised use. HBX reserves the right to suspend or terminate accounts used in breach of these Terms.6. Packages, Pricing, and Campaign Configuration
6.1 Packages
Packages are presented with defined specifications including duration, placement, and targeting options. Pricing is set by HBX and displayed at the point of purchase. HBX may modify pricing and availability at any time; changes apply to new purchases only. All prices displayed on the Portal include a clear breakdown of the applicable charges. The final price, inclusive of all fees and applicable taxes, will be displayed before the order is confirmed.6.2 Configuration
When purchasing a Package you will select your hotel property, campaign start date, source market targeting, and other available options. You are responsible for reviewing selections before completing purchase. Configurations are subject to available inventory.6.3 Bespoke Requirements
For advertising needs beyond the standard Packages, the Portal provides routes back to HBX’s dedicated sales team.7. Payment and Invoicing
7.1 Invoicing
All purchases are invoiced by HBX in accordance with HBX’s standard invoicing procedures. Payment terms, currency, and invoicing details will be communicated by HBX at or following the point of purchase. Campaigns may not be activated until payment has been received or credit terms have been agreed. HBX will issue a VAT-compliant or compliant with other applicable indirect taxes, where required by law, invoice for each purchase. Invoices will be made available electronically through the Portal or sent to the email address associated with your account.7.2 Taxes
Prices are displayed exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes, duties, or levies applicable in your jurisdiction.7.3 Refunds
Given the nature of the digital advertising services, Campaigns that have been activated and begun delivering are generally non-refundable, as the service is fully performed upon activation. Notwithstanding the foregoing, refund requests for Campaigns not yet activated will be assessed by HBX within 14 days of the request. Contact [HBX SUPPORT EMAIL] for enquiries.8. Campaign Delivery and Reporting
8.1 Activation
Following confirmation of payment or agreed credit terms, your Campaign is configured automatically via the ad server. HBX endeavours to activate Campaigns within 5 working days of payment confirmation.8.2 Performance Reporting
Campaign metrics (impressions, clicks, click-through rate, and where available, conversions) are provided via the Portal dashboard. Reporting data is indicative and subject to standard ad-serving variances. HBX does not guarantee specific performance outcomes, impression volumes, or click-through rates.8.3 Creative Assets
Where a Package requires creative assets, you must provide materials meeting the specifications communicated in the Portal. HBX reserves the right to reject assets that do not meet quality standards or violate applicable policies.9. Acceptable Use
You agree not to:- Use the Portal for any unlawful purpose or in violation of applicable law
- Submit misleading, fraudulent, or deceptive campaign content
- Attempt to access systems, data, or accounts not authorised to you
- Interfere with the operation, security, or availability of the Portal
- Resell or redistribute Portal access or advertising inventory
